1. Directory Purpose and Eligibility
This directory is maintained by Cross Border Ops LLC, a Wyoming-registered limited liability company ("XBO"), and is reserved exclusively for businesses owned or operated by Legendarios or their spouses/legal partners.
Eligibility to List: Listing eligibility is limited to individuals holding a valid LGND number who own or operate a business, and to spouses or legal partners of LGND holders who own or operate a separate business. Each LGND number is entitled to list a maximum of two businesses. XBO reserves the sole discretion to determine eligibility and may remove any listing found not to meet this criterion.
Legendario Verification: XBO does not currently verify LGND numbers or Legendario status through a third-party authority. Membership is based on self-attestation and trust. XBO reserves the right to implement verification procedures in the future and may remove listings retroactively if a submission is found to be false or if LGND status is revoked.
2. Access and Authorization
Authorized Users: Only the individual holding the LGND number is authorized to create and manage login credentials for the directory. Login credentials are personal and non-transferable.
Credential Management: The LGND holder is solely responsible for all activity conducted under their login credentials, including activity by anyone with whom they share those credentials (e.g., spouse, household members). Credential sharing outside your household is at your own risk. XBO is not liable for unauthorized access resulting from compromised or shared credentials.
Duplicate LGND Numbers: If two individuals claim the same LGND number, one of them must be vouched for by XBO or an existing verified Legendario before access is granted. In the absence of verification, access may be denied pending resolution.
3. Privacy and Data Protection
Visibility Within the Network: By listing your business in this directory, you acknowledge that your contact information and business details will be visible to other Authorized Users within the network. This visibility is intended and is the core function of the directory.
No External Sharing: XBO does not sell, license, export, or disclose registry information to any party outside the network of Authorized Users. Registry data is not shared with the public, third-party vendors, or external services.
Data Retention and Deletion: XBO does not retain archived or historical data after a listing or account is removed from the directory. Upon deletion, all associated data is permanently removed from XBO's systems.
Colombian Data Protection: Users acknowledge that if they are resident in Colombia or their business operates in Colombia, Colombian data protection law (Law 1581 of 2012, Habeas Data) may apply to their personal data. XBO will comply with applicable Colombian data protection requirements regarding any personal data of Colombian residents.
4. Acceptable Use
Members agree that they will use the directory exclusively for legitimate business networking and operational purposes aligned with the network's intent.
Prohibited Conduct:
- Unsolicited commercial solicitation, spam, or phishing directed at other members
- Redistribution of registry information outside the network
- Collection of contact information for resale or competitive intelligence
- Harassment, threats, or defamatory content directed at other members
- Fraudulent misrepresentation of business identity or LGND status
- Use of the directory for illegal activity
- Violation of intellectual property rights in any listing content
5. Violation and Penalties
Spam and Unauthorized Redistribution: Any Authorized User who uses information obtained from this registry to solicit, spam, contact other members outside the stated purpose of the network, or who redistributes registry information outside the network breaches this agreement and agrees to pay XBO liquidated damages of five thousand US Dollars ($5,000.00) per violation, representing a pre-estimate of harm to the network's trust and value. This is separate from XBO's right to immediately suspend or remove the violating member.
Immediate Suspension: XBO reserves the right to suspend or remove access immediately, without advance notice, if terms are violated or if conduct threatens the security or integrity of the directory.
6. Indemnification
Members agree to indemnify, defend, and hold harmless XBO and its officers, employees, and agents from any claims, damages, liabilities, or costs (including reasonable attorney fees) arising from:
- False or misleading information in the member's listing
- Violation of these Terms of Service
- Violation of third-party intellectual property, privacy, or other rights
- Unauthorized use of another member's login credentials
- Any harm caused by the member's use of the directory
7. Disclaimer of Warranties
As-Is Service: The directory is provided on an "as-is" basis. XBO makes no warranty regarding:
- The accuracy, completeness, or reliability of any business listing
- The trustworthiness, legitimacy, or reputation of any member
- Continuous or uninterrupted availability of the directory
- Fitness of the directory for any particular purpose
- Freedom from defects, errors, or security vulnerabilities
8. Limitation of Liability
XBO's total liability for any claim arising from or related to the directory, whether based in contract, tort, or otherwise, shall not exceed the value of any fees paid by the claimant (in this case, zero, as the service is free). XBO is not liable for indirect, incidental, consequential, or punitive damages under any circumstances.
9. Termination of Access
Termination by Member: Members may request deletion of their listing or account at any time. Upon deletion, all data is permanently removed.
Termination by XBO: XBO may terminate access or remove a listing at any time, with or without notice, if the member violates these terms, if LGND status is revoked or cannot be verified, or in XBO's sole discretion for any reason related to the operation and integrity of the directory.
10. Amendment
XBO reserves the right to modify these Terms of Service at any time. Material changes will be communicated to members via email or prominent notice on the site, and members will be required to accept the updated terms before continuing to access the directory. Continued use of the directory after such notice constitutes acceptance of the modified terms.
11. Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Both parties agree that any legal action or proceeding related to these terms shall be brought exclusively in the state or federal courts located in Wyoming, and both parties consent to the jurisdiction of those courts. However, members acknowledge that if they are resident in Colombia and a dispute involves Colombian law or Colombian residents' rights, Colombian law and courts may have jurisdiction over certain claims notwithstanding this clause.
12. Entire Agreement
These Terms of Service, together with XBO's Privacy Policy, constitute the entire agreement between the member and XBO regarding the directory and supersede all prior communications, agreements, and understandings.
